Author's Agreement



By completion of the Appraisal Registration Form provided by AGoodBook.com and payment of the appraisal fee, the submitting party makes the following representations:



  1. He/she is the author of the work being submitted, or is otherwise the owner of the copyright.


  2. She/he agrees to the terms of publication by AGoodBook.com, specifically:


  3. AGoodBook.com will offer the work for sale on its Internet site: AGoodBook.Com. AgoodBook.com will summarize and excerpt the book in order to motivate customers to purchase the book. A purchase will be in the form of the right to download the book in digital form through the Internet. Purchasers will receive clear notice to the effect that they have purchased the right to download the book, to print a copy of the book, to read and share the book in printed or digital form, but they have not purchased the right to duplicate or sell the book. AgoodBook.com may, at it's discretion, digitally encode each copy as it is sold, so that a pirated copy may be traced to the original purchaser and may, at it's discretion, initiate appropriate legal action.


  4. AGoodBook.com will pay a royalty of 20% of the selling price for all copies sold, less a reserve for credit card disputes. Initially, this reserve will be 10% of royalties and will be adjusted up or down based on actual, documented experience.


  5. Accounting for royalties will be made monthly, on the 25th of each month, for the preceding month. A valid social security number or tax identification number must be furnished to AGoodBook.com prior to disbursement.


  6. The initial sales price of the work will be $4.95. Changes in price are at the discretion of AGoodBook.com.


  7. The work will be offered for sale for a period of one year from notice of acceptance by AGoodBook.com. Either AGoodBook.com or the author may serve notice that the book will be withdrawn from sale at the end of the initial year, and the book shall be so withdrawn. In the absence of such a notice, the book will be offered for sale for another year and such renewals may continue indefinitely unless such notice is served.


  8. Notwithstanding the above, a work may be withdrawn from sale at any time if: a)there is a dispute concerning ownership of copyright and the disputants cannot agree on continued sale of the work, b)AGoodBook.com deems there is offensive content to the work detrimental to overall reputation and business of AGoodBook.com, or c)sale is forbidden by competent legal authority.


AGoodBook.com makes the following representations:



  1. The submitted work will be read thoroughly and reviewed. No guarantee of publication is made by acceptance of the appraisal fee. Indications of the standards by which the work will be judged are given in the form of explanations (What is a good book, etc.) and in the form of examples (the other books offered for sale); however, the acceptance of a work for sale is at the complete and final discretion of AGoodBook.com.


  2. Advertising and promotion will be for AGoodBook.com, as well as for specific titles. No commitment for advertising and promotion is expressed or implied.


  3. This Agreement is between the Author/Copyright Owner and AGoodBook.com.


  4. Legal notices to AGoodBook.com shall be made to Publisher@agoodbook.com. Legal notices and payments to authors/copyright owners shall be to the address provided on the Appraisal Registration. Addresses may be changed by serving legal notice.


  5. Disputes arising under this agreement and otherwise between the person submitting the Appraisal Agreement and AGoodBook.com shall be submitted to binding arbitration under the auspices of the American Arbitration Association. The law of the State of Florida will be the pertinent state legal authority. Additional or further legal action arising from this agreement shall constitute acceptance of financial responsibility of the party initiating such legal action for the legal fees of the AGoodBook.com, regardless of whosoever prevails.


  6. Disputes arising among claimants to copyright and royalties shall hold AGoodBook.com harmless. AGoodBook.com shall have the right to recover legal, accounting and other expenses arising from fraud and/or misrepresentation of copyrights from any competent party.


  7. Completion of the Appraisal Registration Form and payment of Appraisal Fee constitute acceptance of the terms of this agreement, termed Author's Agreement, by the submitting party. Acceptance of the Appraisal Fee constitutes acceptance by AGoodBook.com.
